Commercial Limited Warranty and Service Policy

Effective Date: July 27, 2026

This Commercial Limited Warranty and Service Policy applies to qualifying products and services supplied by NVision Source Technologies. The specific proposal, invoice, manufacturer warranty, service agreement, or statement of work may provide different coverage. Where a separately signed document expressly conflicts with this policy, the separately signed document controls.

Commercial Transactions

This policy is primarily intended for products and services purchased for commercial, institutional, educational, worship, nonprofit, governmental, professional, or business use.

Consumer transactions may carry rights that cannot legally be waived or limited. Nothing in this policy eliminates a right that applicable law prohibits NVision from eliminating.

NVision Workmanship Limited Warranty

Unless another period is stated in writing, NVision warrants its installation workmanship for ninety days from the earliest of:

  • Substantial completion;
  • Client acceptance;
  • Beneficial use;
  • First operational use; or
  • The date NVision notifies the Client that its work is complete.

This limited warranty covers a proven defect directly caused by NVision's installation workmanship.

NVision's obligation is limited, at its option, to:

  1. Inspecting the affected work;
  2. Correcting the defective workmanship;
  3. Reperforming the affected service; or
  4. Providing a commercially reasonable alternative remedy.

This workmanship warranty does not provide a refund unless NVision expressly authorizes one.

Product Warranties

Products supplied by NVision are ordinarily covered only by the applicable manufacturer's warranty.

NVision does not independently manufacture most equipment it sells and does not extend or enlarge a manufacturer's warranty unless a separate NVision written warranty expressly states otherwise.

Manufacturer warranties may differ regarding:

  • Coverage periods;
  • Registration;
  • Transferability;
  • Advance replacement;
  • Shipping;
  • Removal;
  • Reinstallation;
  • Labor;
  • Technical support;
  • Refurbished replacements; and
  • Geographic restrictions.

The Client is responsible for reviewing manufacturer warranty terms.

When reasonably available and when the account is current, NVision may assist a commercial Client with a manufacturer warranty claim. Such assistance does not make NVision the manufacturer or guarantor.

Diagnostic labor, removal, reinstallation, programming, shipping, travel, lifts, after-hours work, expedited freight, loaner equipment, and temporary systems are not included in the manufacturer's warranty unless expressly stated.

Repair-Service Limited Warranty

Unless otherwise stated in writing, NVision warrants qualifying repair workmanship for thirty days after completion.

The repair warranty applies only to the specific defect identified and work performed.

It does not cover:

  • Unrelated failures;
  • Additional hidden defects;
  • Aging components;
  • Intermittent faults not reproduced during testing;
  • Cosmetic deterioration;
  • Obsolete products;
  • Data loss;
  • Software incompatibility;
  • Battery degradation;
  • Consumables;
  • Damage occurring after return;
  • Shipping damage;
  • Misuse;
  • Power events; or
  • Failure of a replacement part covered by a separate supplier warranty.

If NVision confirms that the same repaired defect resulted from defective repair workmanship during the warranty period, NVision will reperform the affected repair labor without charge.

Programming and Configuration Warranty

Unless otherwise stated, NVision will correct reproducible programming or configuration errors reported within thirty days after commissioning when the error prevents the system from materially performing the expressly approved scope.

This coverage does not include:

  • New features;
  • Preference changes;
  • Client-requested revisions;
  • Workflow changes;
  • Manufacturer firmware changes;
  • Operating-system updates;
  • Cloud-platform changes;
  • API changes;
  • Network changes;
  • Credential changes;
  • Changes made by others;
  • Third-party incompatibility; or
  • Conditions outside the approved scope.

Programming changes requested after approval or acceptance are billable.

Training Services

Training, instruction, demonstrations, documentation, and courses are educational services.

NVision warrants only that it will use commercially reasonable efforts to provide the identified training content.

NVision does not warrant:

  • A particular test score;
  • Employment;
  • Promotion;
  • Income;
  • Professional licensure;
  • Manufacturer certification;
  • Academic credit;
  • Acceptance by an employer;
  • Mastery without practice;
  • Error-free student performance; or
  • Any particular business result.

Course-content concerns must be reported promptly so NVision can investigate and correct material errors where appropriate.

Managed Services

Managed-service and maintenance-plan coverage is defined by the applicable service agreement.

Preventive maintenance, remote monitoring, or technical support does not guarantee that equipment will never fail or that service will be uninterrupted.

Parts, labor, travel, after-hours support, software, subscriptions, and third-party charges are included only when expressly stated.

Live-Event Services

Because live-event performance depends on venues, utilities, internet access, performers, weather, platforms, Client decisions, third-party equipment, and real-time conditions, NVision does not warrant uninterrupted event operation.

NVision will use commercially reasonable efforts to perform the contracted scope.

A service interruption does not automatically entitle the Client to a full refund. Any remedy will consider:

  • The portion of services successfully performed;
  • The cause of the interruption;
  • Client and venue responsibilities;
  • Third-party failures;
  • Backup services purchased; and
  • NVision's ability to cure or mitigate.

Digital Services, Software, Websites, and Portals

Digital services are warranted only to materially conform to the written approved scope at acceptance.

Digital products and services are not warranted to be:

  • Completely error-free;
  • Permanently compatible;
  • Continuously available;
  • Immune from cyberattack;
  • Compatible with every browser or device;
  • Free from third-party changes; or
  • Suitable for purposes not identified in writing.

Issues caused by hosting providers, APIs, browsers, operating systems, third-party applications, Client modifications, unsupported devices, or service-provider changes are excluded.

Warranty Exclusions

No NVision warranty covers a condition caused in whole or in part by:

  • Accident;
  • Abuse;
  • Misuse;
  • Neglect;
  • Improper operation;
  • Failure to follow instructions;
  • Unauthorized repair;
  • Modification;
  • Relocation;
  • Work by others;
  • Client-provided products;
  • Defective infrastructure;
  • Improper electrical service;
  • Power surge;
  • Lightning;
  • Utility fault;
  • Inadequate grounding;
  • Network failure;
  • Internet failure;
  • Water;
  • Moisture;
  • Excessive heat;
  • Excessive dust;
  • Corrosion;
  • Pest or animal damage;
  • Vandalism;
  • Theft;
  • Fire;
  • Natural disaster;
  • Building movement;
  • Structural failure;
  • Roof or plumbing leak;
  • Environmental conditions;
  • Consumable wear;
  • Normal wear;
  • Battery depletion;
  • Lamp or filter expiration;
  • Obsolescence;
  • Manufacturer discontinuation;
  • Software or firmware changes;
  • Malware;
  • Cyberattack;
  • Credential compromise;
  • Force-majeure event; or
  • Failure to perform recommended maintenance.

Coverage is void for the affected portion of work when the Client or another party modifies, opens, relocates, rewires, reprograms, damages, or improperly services it.

Items Not Included

Unless expressly included, warranty coverage does not include:

  • Travel;
  • Mileage;
  • Parking;
  • Tolls;
  • Lodging;
  • Freight;
  • Shipping;
  • Expedited delivery;
  • Lifts;
  • Scaffolding;
  • Crane service;
  • Ceiling removal;
  • Wall repair;
  • Painting;
  • Electrical work;
  • Network administration;
  • Software licenses;
  • Subscription fees;
  • Data recovery;
  • Backup restoration;
  • Rental equipment;
  • Loaner equipment;
  • Temporary systems;
  • After-hours labor;
  • Overtime;
  • Venue charges;
  • Manufacturer inspection fees; or
  • Work required to access equipment.

Warranty Claim Procedure

To request coverage, the Client must:

  1. Submit written notice during the applicable warranty period;
  2. Identify the project, invoice, product, and location;
  3. Describe the issue in reasonable detail;
  4. Provide photographs, videos, logs, error messages, or other requested information;
  5. Stop using equipment when continued operation may cause damage or present a safety risk;
  6. Prevent unauthorized parties from modifying the affected work;
  7. Provide safe and reasonable access; and
  8. Allow NVision a reasonable opportunity to inspect and cure the condition.

Reporting an issue does not automatically establish warranty coverage.

Remote Diagnosis

NVision may first use telephone, video, portal, email, logs, photographs, or remote access to diagnose a reported issue.

The Client must provide reasonable cooperation.

If the reported issue is not covered, cannot be reproduced, was caused by an excluded condition, or requires work beyond the warranty scope, NVision may charge its standard diagnostic, labor, travel, or support rates.

Opportunity to Cure

NVision must be given a reasonable opportunity to inspect and remedy an alleged defect before the Client hires another contractor or alters the affected work.

NVision is not responsible for third-party repair costs unless those costs were approved in writing before being incurred.

Emergency action reasonably necessary to prevent immediate injury or substantial property damage is permitted, but the Client must document the condition and notify NVision as soon as reasonably possible.

Replacement Products

A replacement product may be new, refurbished, remanufactured, recertified, or functionally equivalent, depending on manufacturer policy and availability.

Replacement does not necessarily restart the original warranty period. Coverage continues for the remaining original period unless applicable law or the manufacturer's warranty provides otherwise.

A discontinued product may be replaced with the nearest reasonably available equivalent. Differences in appearance, dimensions, features, control, programming, or compatibility may require billable changes.

Data and Configuration

The Client is responsible for maintaining current backups of data, credentials, configuration files, recordings, media, and other information.

Repair, replacement, update, reset, or warranty service may erase data or settings.

NVision is not responsible for data or configuration loss except to the extent caused by NVision's willful misconduct and not lawfully disclaimable.

No Unauthorized Warranties

No employee, salesperson, technician, instructor, subcontractor, distributor, or representative may create or modify a warranty orally.

A warranty modification is valid only when it is:

  1. In writing;
  2. Specific to the applicable transaction; and
  3. Signed by an authorized NVision representative.

Statements about expected performance, projected life, manufacturer reputation, or anticipated results are not separate warranties unless expressly identified as such.

Disclaimer of Other Warranties

EXCEPT FOR THE EXPRESS LIMITED WARRANTIES STATED IN THIS POLICY OR A SEPARATE SIGNED AGREEMENT, AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, NVISION DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, COMPATIBILITY, SECURITY, SYSTEM INTEGRATION, AND RESULTS.

No warranty applies to a purpose, condition, feature, or performance requirement that was not disclosed to and accepted by NVision in writing.

Exclusive Remedy

To the maximum extent permitted by law, the remedies stated in this policy are the Client's exclusive remedies for a covered warranty claim.

NVision may choose to:

  1. Repair;
  2. Reperform;
  3. Replace;
  4. Provide a reasonable substitute;
  5. Issue a service credit; or
  6. Refund the amount paid for the specifically affected NVision service, less the value of benefits already received.

NVision is not obligated to replace an entire system when a specific component or service can reasonably be corrected.

Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NVISION IS NOT LIABLE UNDER THIS WARRANTY FOR:

  • Lost profits;
  • Lost revenue;
  • Loss of use;
  • Business interruption;
  • Lost data;
  • Lost recordings;
  • Event interruption;
  • Substitute equipment;
  • Third-party labor;
  • Incidental damages;
  • Special damages;
  • Punitive damages; or
  • Consequential damages.

NVISION'S MAXIMUM LIABILITY FOR A COVERED CLAIM WILL NOT EXCEED THE AMOUNT PAID TO NVISION FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.

Manufacturer Rights

Nothing in this policy reduces a right provided directly by a manufacturer.

Manufacturer claims may need to be submitted directly to the manufacturer or an authorized service center.

NVision is not responsible for a manufacturer's delay, insolvency, claim denial, replacement decision, discontinued product, or warranty-policy change.

Nontransferability

Unless expressly stated or required by law, NVision workmanship and repair warranties apply only to the original Client and project location and may not be transferred.

Relocation of installed equipment may terminate applicable workmanship coverage.

Commercial Warranty Designation

This policy is a limited commercial warranty.

It is not intended to constitute a "full warranty" under federal consumer warranty law.

Where federal or state consumer warranty law applies, this policy will be interpreted and limited as necessary to comply with that law.

Governing Terms

This policy is incorporated into NVision's Master Terms and Conditions.

The governing-law, venue, limitation-of-liability, notice, severability, and dispute provisions in the Master Terms and Conditions apply to warranty claims.
